By taking the requested action to accept these terms, you represent and warrant to Blue Apron that:
You grant Blue Apron, LLC, and its affiliates, and its and their respective officers, directors, employees, consultants, contractors, agents, representatives, successors, assigns, and any other individual or entity authorized by Blue Apron (collectively, the “Licensed Parties”), the irrevocable, unconditional, exclusive, royalty-free, worldwide, perpetual and fully sublicensable right and license to display, edit, copy, and otherwise use, without limitation, the photo or other image to which this request relates, together with any caption, text, hyperlinks or other language appurtenant thereto, (the “Materials”), in whole or in part, or alone or in conjunction with other materials, through any and all manners, formats or mediums now known or hereafter devised, for any and all commercial or non-commercial purposes, including, without limitation, for promotional, publicity, public relations, advertising, trade, packaging, business, illustration, artistic or other purposes, and to use your name and/or username in connection with the Materials, at the sole discretion of Blue Apron.
You have full power and authority to enter these Terms and Conditions and to grant the rights and license set forth herein, and your doing so does not and will not violate or infringe any right of, or conflict with or violate any contract with or commitment made to, any individual or entity, including any intellectual property rights.
You are at least eighteen (18) years of age and are the age of majority in the state in which you reside.
You waive any right that to inspect and/or approve the use by the Licensed Parties of the Materials or your name or user name.
You irrevocably and unconditionally release, waive, acquit and forever discharge the Licensed Parties from and against, to the fullest extent not prohibited by applicable law, any and all claims that any use of Materials as authorized herein violates any of your rights, including, without limitation, infringement, defamation, libel, slander, invasion of right of publicity, privacy or personality, intrusion, false light, public disclosure of private facts, intentional or negligent infliction of emotional distress, breach of any verbal, written or implied contract or tortious or wrongful interference with contracts or business. You further understand, acknowledge and agree that you will not be entitled to any royalty, payment or other compensation for the rights granted herein or for any use of any Materials or your name and/or username as authorized herein.
